Business Broker Fees and Commissions
Business broker compensation may include an upfront retainer, monthly fees, expense reimbursement, minimum fee and a success fee at closing. Sellers should compare the fee base, tiers, exclusions, buyer-tail period, cancellation rights, co-broker arrangements, reimbursable expenses and exactly when a commission is earned.
Understand the common fee components
- Retainers may cover preparation and launch work and may or may not credit against a success fee.
- Success fees may be a flat percentage, tiered formula or minimum amount.
- Marketing, data-room, travel, legal, valuation or third-party costs may be separate.
Read the engagement agreement closely
- Identify exclusivity, term, renewal, termination, protected-buyer or tail provisions and what counts as a completed transaction.
- Confirm whether assumed debt, seller notes, earnouts, retained equity, real estate or post-closing payments enter the fee calculation.
- Document pre-existing buyers and excluded relationships before signing.
Compare service, not price alone
- Ask who prepares materials, screens buyers, manages confidentiality, coordinates diligence and supports negotiation.
- Request a realistic process plan, reporting cadence and examples of relevant transactions without expecting disclosure of confidential client information.
- Evaluate conflicts, licensing requirements, references and the people who will actually handle the assignment.
Model net proceeds
- Calculate fees under multiple price and structure scenarios.
- Include taxes, debt payoff, legal/accounting costs, working-capital adjustments, escrows and seller-financing timing.
- A higher headline price can still produce lower or slower net proceeds.

Frequently asked questions
What percentage does a business broker charge?
There is no universal percentage. Fees vary with transaction size, scope, market, complexity and engagement terms.
Is the broker paid if the business does not sell?
Success fees usually depend on a closing, but retainers, expenses and tail provisions may still apply. Read the agreement.
What is a minimum fee?
It is the lowest success fee payable even when the percentage calculation would produce a smaller amount.
Can broker fees be negotiated?
Commercial terms may be negotiated, but scope, incentives, minimums and service level should be evaluated together.
